A ski-resort acquisition raises a separate question about the cableway concession. Sections 4 and 21 of the Austrian Cableways Act 2003 (SeilbG) address the cableway undertaking and the concession required for a public cableway. Section 29 distinguishes between issuing a new concession and amending an existing one.

The purchase agreement governs the commercial acquisition and obligations between seller and buyer. The concession decision needs a separate review of the legal entity, control over construction and operation, and transaction structure. Clarify these points before signing and closing so that the handover and authority process fit together.

The decision aid below offers an initial orientation. It does not replace a review of the concession decision or a case-specific assessment by the competent cableway authority.

01 Question 1

What transaction structure is planned?

Choose the option closest to the proposed agreement. Select "Not yet clear" if the legal structure or future operator is still being worked out.

Possible acquisition routes

01

Share purchase with the concession holder continuing

If the legal entity named in the concession continues to exist, it remains the addressee of the concession decision. Separately identify who will have control over construction and operation after closing. Section 4 of the Austrian Cableways Act 2003 (SeilbG) focuses on that power of control.

Sections 4 and 29 do not establish a blanket rule that every share purchase requires a new concession or removes the need for authority review. Compare the concession decision, ownership, management and operator agreements. Before closing, ask the competent cableway authority whether an application or amendment is required for this structure.

02

A different legal entity may take over the installation or operation

Where a third party is to become concession holder, section 29(1) SeilbG provides for a new concession on application for the remaining term. The authority examines, among other matters, financial capacity, reliability, liability insurance and the rights needed to use the relevant land.

Include the application and authority review in the handover plan. The purchase agreement can allocate responsibilities for documents and timing between the parties. It does not replace a concession decision required for the new operator.

03

Establish whether the transaction is universal succession

Section 29(2) SeilbG deals separately with universal succession. A new concession is not required in that case, but an application to amend the existing concession is required.

Check the exact corporate restructuring and provide evidence of succession. A purchase of individual installations or assets does not, by itself, establish universal succession. Agree the amendment application with the competent cableway authority.

04

The concession holder remains the same but changes its name

Section 29(3) SeilbG provides for an application to amend the concession when the concession holder changes its name. Keep the company-register extract, evidence of the name change and current concession decision ready.

Check whether the transaction also changes the legal entity, operator organisation or control over construction and operation. A name change and a change of operator are separate issues.

05

Set out the transaction structure and operator role first

Identify the person named in the concession and the person that will control construction and operation after closing. Section 4 SeilbG focuses on control. The draft agreement, company-register documents, operator agreements and organisation chart can help describe the proposed structure.

Then establish whether a third party is to become concession holder, whether the transaction involves universal succession, or whether only the company name changes. Ask the competent cableway authority to identify the procedural route for the specific installation. Align completion with that review.

Review the purchase agreement and concession separately

Section 21 SeilbG requires a concession for the construction and operation of a public cableway. A buyer should review the concession decision alongside the price, assets and shares involved in the transaction. Check the holder, scope and proposed operating arrangements.

Section 29 SeilbG addresses several different situations. A new concession for a third party may be issued on application. Universal succession and a change of company name follow separate amendment procedures. The correct route depends on what the transaction legally and operationally transfers.

Our article Public Cableway Concession Before Construction and Operation explains the initial concession. Renewal and continuation are covered in Cableway Concession: Renewal and Continuation. This article focuses on the transaction, operator and concession holder.

Who has control over construction and operation?

Section 4 SeilbG defines a cableway undertaking by reference to the natural or legal person with Verfügungsgewalt over construction and operation, meaning the person with authority to direct those activities. For a transaction review, the purchase agreement or ownership of land and equipment alone does not answer every concession question.

Compare the legal entity named in the concession decision with the company-register position and the planned operating organisation. Operator and management agreements, management powers, and responsibility for construction, maintenance and operation can all help identify what will change at closing.

The concession holder, owner of the installations and business arranging the operation can have different roles. Record each role before asking the authority to assess the proposed structure.

Asset deals and share deals call for different checks

In an asset deal, the buyer acquires individual assets or the operating business. If a different legal entity is to hold the concession, section 29(1) SeilbG is relevant. It provides for a new concession to a third party on application for the remaining term. The authority examines matters including financial capacity, reliability, liability insurance and the rights needed to use relevant land.

In a share deal, the buyer acquires interests in a company. If the same legal entity named in the concession continues to exist, it remains the addressee of the concession decision. Separately check which person has control over construction and operation under section 4 SeilbG and whether the planned operating organisation fits the concession decision.

Section 29 does not establish a blanket rule for every share purchase. Ask the competent cableway authority to assess the ownership structure, operator agreements and planned decision-making arrangements, then confirm the route before closing.

Treat universal succession and a name change separately

Under section 29(2) SeilbG, universal succession does not require a new concession. An application to amend the existing concession is still required. The file should identify the successor and document the legal basis for the succession.

A purchase of individual installations or assets does not, by itself, establish universal succession. Check the corporate restructuring documents and company-register evidence. The label in the purchase agreement is not enough to classify the transaction.

If the concession holder changes its name, section 29(3) SeilbG provides for an application to amend the concession. Check whether the transaction also changes the legal entity, operator organisation or control over construction and operation. A name change and an operator change are separate issues.

Which cableway authority should be involved?

The competent authority depends on the cableway type and the procedure in question. The official authority overview published by the Federal Ministry for Innovation, Mobility and Infrastructure allocates cableway responsibilities by these features. Before an acquisition, establish which authority will handle an amendment or a new concession for the specific installation.

Review the current concession decision and any amendment decisions. Before signing or closing, ask the authority competent for the installation which application and supporting documents are needed for the proposed structure. The current concession decision is an important starting point for that enquiry.

The purchase agreement can allocate responsibility for the enquiry and any application, identify who provides each document and address delays. The authority remains responsible for its decision independently of the division of duties and costs agreed between the parties.

Align the agreement, authority process and closing

Prepare a complete review file before closing. Include the concession decision and amendments, a current company-register extract, a clear transaction chart and the agreements governing future operation. For an application under section 29(1) SeilbG, relevant matters include financial capacity, reliability, liability insurance and rights to the land needed for the concession.

Ask the authority which application, evidence and timing apply to the specific installation. Compare the planned handover with the concession status so the buyer and seller have a clear operating plan before completion.

The purchase agreement can allocate who prepares and files an application, who supplies documents, who bears costs and delay risks, whether completion depends on a defined authority decision, and what happens if the planned date slips. These provisions organise cooperation between the parties. They do not replace a decision required under the SeilbG.

FAQ

Frequently asked questions about buying a ski resort

Does the cableway concession transfer automatically when a ski resort is sold? +
Section 29 SeilbG distinguishes between transaction structures. If a third party is to become concession holder, subsection 1 provides for a new concession on application. Universal succession and a change of name follow subsections 2 and 3. Review the concession decision, legal entity and operating structure before completion.
Does an asset deal require a new concession? +
If the buyer is to become a third-party concession holder, section 29(1) SeilbG provides for a new concession on application for the remaining term. Confirm the actual operator role and the requirements for the installation with the competent authority before handover.
Does every share deal require a new concession? +
Section 29 does not establish a blanket rule for every share purchase. If the same company named in the concession continues, also check control over construction and operation under section 4 SeilbG and ask the competent cableway authority about the specific structure.
What applies to a merger? +
Where the transaction is universal succession, section 29(2) SeilbG does not require a new concession. An application to amend the existing concession is required. Check the legal form against the restructuring documents.
Which authority decides whether the concession must change? +
Competence depends on the cableway type and the procedure. Review the current concession decision and ask the authority responsible for the installation which body will handle an amendment or new concession before closing.
Can the purchase agreement address the authority process? +
The agreement can allocate responsibilities, documents, costs, delay consequences and the intended handover date between the parties. It does not replace an application or concession decision required for the transaction.
